All rights, title, and interest in and to the AI, including any modifications, enhancements, and derivative works thereof, are retained exclusively by Media Point.

Media Point, as the licensor, reserves the right to use, deploy, or license the AI technology for other similar applications, platforms, or clients, at its sole discretion, without any obligation to anyone, as the technology has been independently developed and is fully owned by Media Point.

This website is primarily meant for users to experience the magic of the Selora AI. This technology and all related content are the **exclusive intellectual property of Media Point**. Any reproduction, distribution, or use of this technology in any form without the prior written consent of Media Point is strictly prohibited.

Media Point will extend the use of the AI-embedded Colour Visualizer to select subscribers under a **limited, non-exclusive, non-transferable, and revocable license**. This extension of AI implementations is granted solely for the **internal use of paid subscribers** and does not confer any ownership rights or perpetual usage rights. This license does not confer any ownership rights or perpetual usage rights to any of the paid subscriber. Media Point retains **full and sole ownership of the AI**, and reserves all rights not expressly granted under this clause.

The AI-enabled Colour Visualizer is designed to deliver intelligent and dynamic outcomes, enhancing the user experience through advanced computational analysis. The costs associated with hosting, server infrastructure, and ongoing operations for the AI system shall be applicable from time to time, as determined and communicated by Media Point.

Media Point reserves the right to modify, suspend, or discontinue the use of this solution at its sole discretion and shall not be liable or obligated to any party regarding such decisions.

1. Ownership
Selora AI – Colour Visualizer (hereafter “the Technology”) is a proprietary, AI-driven solution developed by Media Point in collaboration with Brand Post for the paint industry. All rights, title, and interest in the Technology, including its code, algorithms, designs, models, and associated documentation, are fully owned by Media Point. No part of the Technology may be reproduced, copied, distributed, or used without explicit written permission from Media Point.

2. License Grant
Media Point grants the user a non-transferable, non-exclusive, paid license to access and use the Technology strictly in accordance with these terms. The license:

• Is valid only for the duration specified in the purchase agreement.
• Allows access solely for the internal business purposes of the licensee.
• Does not convey any ownership rights in the Technology.

3. User Obligations
By using the Technology, the licensee agrees to:

• Use the Technology only for its intended purpose in the paint industry.
• Maintain the confidentiality of any proprietary information, including models, algorithms, and data provided.
• Refrain from reverse engineering, decompiling, or attempting to derive the source code or algorithms.
• Not distribute, sublicense, sell, or make the Technology available to any third party.

4. Data & Privacy

• User data processed via the Technology will be handled in accordance with applicable privacy laws.
• Media Point may collect anonymized usage data to improve the Technology; no personal information will be shared with third parties without consent.
• Users are responsible for securing any personal or customer data they input into the Technology.

5. Modifications & Suspension
Media Point reserves the right, at its sole discretion, to:

• Modify, update, or enhance the Technology.
• Suspend or discontinue access to the Technology, in whole or in part, without prior notice.
• Make decisions regarding the Technology’s availability or functionality without obligation to any licensee.

6. Intellectual Property Protection
All intellectual property rights, including copyrights, patents, trademarks, and trade secrets related to the Technology, remain with Media Point. Unauthorized use, reproduction, or distribution may result in civil and criminal penalties.

7. Liability & Indemnification

• The Technology is provided “as is,” without warranty of any kind.
• Media Point shall not be liable for any direct, indirect, incidental, or consequential damages arising from the use of the Technology.
• Licensees agree to indemnify Media Point against any claims arising from misuse of the Technology.

8. Termination
Media Point may terminate the license immediately if the user violates any of these terms. Upon termination, the user must cease all use of the Technology and destroy any copies or derivatives in their possession.

9. Governing Law
These terms shall be governed by and construed in accordance with the laws of India, and disputes shall be subject to the exclusive jurisdiction of courts in India.
